1. DEFINITIONS

1.1 “Supplier” means TM Maintenance Services Ltd.

1.2 “Customer” means the client or company engaging the Supplier.

1.3 “Agreement” means these Terms and Conditions together with any Quotation, Specification, or Scope of Works.

1.4 “Works” means all services, labour, and materials provided.

2. BASIS OF CONTRACT

2.1 All Works are carried out strictly under these Terms.

2.2 Any quotation or scope forms part of this Agreement.

2.3 In the event of conflict, these Terms take precedence.

3. PRICING & PAYMENT

3.1 All prices are exclusive of VAT unless stated otherwise.

3.2 Payment terms: 30 days from invoice date.

  • Require deposits or staged payments
  • Invoice monthly for ongoing works

3.4 Late Payments

  • Interest charged under the Late Payment of Commercial Debts Act
  • All recovery costs, legal fees, and admin charges are payable by the Customer

3.5 The Supplier may:

  • Suspend works afer 7 days written notice of non-payment
  • Reallocate labour and resources

3.6 Annual price increase of up to 5% applies automatically.

4. VARIATIONS & EXTRA WORKS

4.1 No additional works will be undertaken without instruction (written or verbal).

4.2 All variations are:

  • Chargeable
  • May affect programme and completion

4.3 If urgent works are required to protect safety or property, the Supplier may proceed and charge accordingly.

5. PROGRAMME & DELAYS

5.1 All timeframes are estimates only.

5.2 The Supplier is not liable for delays caused by:

  • Weather conditions
  • Site access restrictions
  • Third-party interference
  • Client delays
  • Unforeseen site conditions

5.3 Time shall not be of the essence.

6. SITE CONDITIONS & EXISTING DEFECTS

6.1 The Supplier accepts no liability for:

  • Pre-existing defects
  • Hidden or latent conditions
  • Structural issues not visible at time of inspection

6.2 Any defects discovered during works will be:

  • Reported
  • Treated as a variation

7. CUSTOMER OBLIGATIONS

The Customer must:

  • Provide safe and suitable access
  • Ensure permissions and approvals are in place
  • Provide accurate information
  • Not interfere with works

Failure to comply may result in:

  • Additional costs
  • Delays
  • Suspension of works

8. ACCESS, HEALTH & SAFETY

8.1 The Supplier reserves the right to stop works if:

  • Site conditions are unsafe
  • Access is restricted

8.2 Any resulting delays or costs will be chargeable.

9. CANCELLATION

9.1 Cancellation within 5 working days of start date = 100% charge

9.2 Cancellation prior to this = costs incurred + loss of profit

10. MINIMUM CONTRACT PERIOD & TERMINATION

10.1 Contracts run for agreed minimum term

10.2 Early termination = 50% of remaining contract value payable immediately

10.3 Afer minimum term: 90 days written notice required

10.4 Supplier may terminate immediately if:

  • Payment default
  • Unsafe conditions
  • Breakdown in working relationship

11. WARRANTY

11.1 Works will be carried out with reasonable skill and care.

11.2 No warranty applies to:

  • Existing structures
  • Third-party works
  • Materials not supplied by the Supplier

12. LIMITATION OF LIABILITY

12.1 Total liability is limited to the value of the contract.

12.2 The Supplier is not liable for:

  • Loss of profit
  • Business interruption
  • Indirect or consequential losses

13. INSURANCE

13.1 The Supplier maintains appropriate Public Liability Insurance.

13.2 Evidence can be provided upon request.

14. FORCE MAJEURE

The Supplier is not liable for events beyond its control including:

  • Weather
  • Strikes
  • Supply chain issues
  • Government restrictions

15. RETENTION OF TITLE

All materials remain property of the Supplier until full payment is received.

16. DISPUTES

16.1 Parties shall attempt to resolve disputes amicably.

16.2 If unresolved, disputes shall be subject to:

  • English law
  • Jurisdiction of English courts

17. ENTIRE AGREEMENT

This Agreement overrides all prior discussions or agreements.
